Terms and Conditions of Sale (T&C)

2. Purpose

These General Terms and Conditions of Sale (GTC) govern the sale of electronic products, embedded modules, and systems offered by REEDS. Placing an order implies unconditional acceptance of these GTC.

3. Products and Usage

These products are intended for professional, technical, or industrial use. They require specific expertise in electronics and embedded systems. The purchaser is solely responsible for verifying that the product meets their technical requirements. Images and documentation are provided for informational purposes only and are not binding.

4. Price and Retention of Title

Prices are listed in euros, excluding tax (excl. tax). VAT is added in accordance with the regulations in effect at the time of the order. Retention of title: REEDS retains full ownership of the products sold until full payment of the price, including principal and ancillary charges.

5. Payment

Payment is due immediately upon placing the order. We accept credit cards (via Stripe / WooPayments) and bank transfers.

6. Shipping and Customs (International)

Products are shipped to the address provided by the customer. Delivery times are approximate.

Export and Customs: For all shipments outside the European Union and to French overseas departments and territories, customs duties, local taxes, import duties, or state taxes may be applicable. These duties and fees are not the responsibility of REEDS. They are the sole responsibility of the buyer, who is fully liable for both declarations and payments to the relevant authorities and agencies in their country.

7. Acceptance and Transfer of Risk

The risk of loss or damage to the products passes to the buyer as soon as the package is handed over to the carrier. The customer must inspect the condition of the products upon receipt and report any issues in writing within 48 hours.

8. Right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts between businesses. For non-business customers (consumers), a 14-day return period applies. Products must be returned new, unused, unopened, and in their original packaging.

9. Warranty

The products are covered by the legal warranty of conformity and the warranty against hidden defects. REEDS products are covered by a 12-month warranty against manufacturing defects for business customers. The warranty is strictly excluded in the event of:

  • Wiring errors, reversed polarity, or improper installation;
  • Hardware or software modifications to the product made by the user;
  • Damage caused by improper use or an unsuitable environment (humidity, power surges).

10. Liability and Critical Applications

REEDS shall not be held liable for any consequential damages or loss of business. Disclaimer: The products are not certified for critical applications (medical, aerospace, life-safety). The purchaser is solely responsible for ensuring the safety and redundancy of the systems in which REEDS products are integrated.

11. Personal Data (GDPR)

The data collected is necessary for order processing. In accordance with the GDPR, you have the right to access, correct, and delete your data by contacting: contact@solutionsreeds.fr.

12. Pre-orders

Pre-ordered products are subject to production delays. Delivery times are provided for informational purposes only. No late fees may be charged for reasonable delivery delays caused by supply chain issues.

13. Governing Law and Mediation

These Terms and Conditions are governed by French law. In the event of a dispute, the courts within the jurisdiction of REEDS’s registered office shall have exclusive jurisdiction. In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, any consumer has the right to seek assistance from a consumer mediator free of charge in the event of a dispute that cannot be resolved by customer service.
